1. Wholesale Account Terms

1.1 Account Eligibility

All wholesale purchases require an approved business account with Sky Capital Investments LLC. To qualify, applicants must:

• Provide a valid resale certificate or business license
• Demonstrate intent to purchase in wholesale quantities (minimum order quantities apply)
• Agree to these Terms and Conditions

1.2 Account Approval

We reserve the right to approve or deny any wholesale account application at our sole discretion. Approved accounts may be revoked for violation of these terms.

2. Ordering & Payment Terms

2.1 Minimum Order Requirements

Minimum order quantities (MOQ) apply to all products, typically 50 units per SKU. Some products may have higher MOQs as specified on product pages.

2.2 Pricing

All prices are in USD and subject to change without notice. Wholesale pricing tiers are based on order volume:

• Tier 1: 50-99 units (5-10% discount)
• Tier 2: 100-199 units (15-20% discount)
• Tier 3: 200+ units (25-40% discount)

2.3 Payment Methods

We accept:

• Wire transfers (preferred for first-time orders)
• Business checks
• Credit cards (3% processing fee applies)

Payment terms may be extended to qualified accounts after 3 successful orders.

2.4 Taxes

All orders are tax-exempt when accompanied by a valid resale certificate. Otherwise, applicable Texas sales tax will be added.

3. Shipping & Returns

3.1 Shipping

Shipping costs are calculated based on weight, destination, and shipping method selected. We ship via FedEx, UPS, and LTL carriers.

• Orders placed before 3PM CST typically ship same day
• Freight shipments require business address for delivery
• International shipping available with additional fees

3.2 Damage Claims

Any shipping damage must be reported within 48 hours of delivery with photographic evidence. We will replace damaged items at no cost.

3.3 Returns

Wholesale returns are only accepted for defective merchandise with prior authorization. Returns must be initiated within 30 days of receipt and are subject to a 15% restocking fee.

We make every effort to ensure product information is accurate, but specifications may change without notice. Contact us for current technical details on any product.

4.2 Inventory

All orders are subject to product availability. Backordered items will be shipped as they become available unless otherwise instructed.

5. Intellectual Property

All product images, descriptions, and pricing are proprietary information of Sky Capital Investments LLC and may not be reproduced without written permission.

6. Limitation of Liability

Sky Capital Investments LLC shall not be liable for any indirect, incidental, or consequential damages arising from the use of our products beyond the purchase price of said products.

7. Governing Law

These Terms shall be governed by the laws of the State of Texas. Any disputes shall be resolved in Harris County courts.

8. Changes to Terms

We reserve the right to modify these Terms at any time. Continued use of your wholesale account constitutes acceptance of the modified Terms.
